A roll-up is a strategy, not one deal structure

A consolidator combines advisory businesses to add scale, capabilities, or geographic reach. Transactions can involve cash, equity, earn-outs, and ongoing employment. A minority investment is different from a sale of control; shared branding does not reveal all of the economics.

Compare integration with your goals

Ask what changes in investment processes, technology, staffing, brand, client contracts, and decision authority. Understand how client consent and contract assignment will be handled. Evaluate the successor’s ability to serve clients and retain staff as well as the headline price.
